- – die Lizenzprüfung zu umgehen oder die Lizenzdatei zu verändern oder weiterzugeben;
- – Systemzeit oder Datenbank zu manipulieren, um Laufzeit oder Gerätezahl zu verändern;
- – die Software zu vermieten oder Dritten außerhalb von § 4 zu überlassen;
- – Urheberrechtsvermerke zu entfernen;
§ 1 Provider and scope
(1) The provider is Mazen und Muaaz Altahan GbR, trading as "TKB IT Support", Trierer Str. 301, 56072 Koblenz, Germany, email: kontakt@tkbitsupport.de ("TKB"). Further details are in the legal notice at https://www.tkbitsupport.de/impressum/.
(2) This EULA governs the customer's use of the software "TKB Monitor". It covers the collector, agents, dashboard, installers, updates and documentation (together the "Software").
(3) It applies to consumers (§ 13 BGB) and businesses (§ 14 BGB) unless a distinction is expressly made.
(4) Ordering, conclusion of contract, prices, payment, the right of withdrawal and support are also governed by TKB's General Terms and Conditions (https://www.tkbitsupport.de/agb/). Where they conflict, this EULA prevails over the General Terms and Conditions.
(5) The customer's own terms apply only if TKB expressly agrees to them in text form.
§ 2 Definitions
Collector: the server part that stores data, provides the dashboard and sends notifications.
Agent: the program that runs on a monitored Windows or Linux computer and reports to the collector.
Network device: a device monitored without an agent, by ping or SNMP, such as a firewall, router, switch, UPS or printer.
Device: every agent and every network device set up in the collector. Each one counts separately.
License file: the file signed by TKB that unlocks a number of devices and a term.
Job: a task an agent runs on a schedule or on request to copy, move, rename or delete files, including on network shares and FTP, FTPS or SFTP servers.
§ 3 Customer account and download
(1) TKB provides the Software only through the customer account on www.tkbitsupport.de. A free customer account is required to download it.
(2) The customer keeps their login details secret and tells TKB without delay if they suspect misuse.
(3) Account data is processed as described in the privacy policy (https://www.tkbitsupport.de/datenschutzerklarung/).
§ 4 Right of use
(1) TKB grants the customer a simple, non-exclusive, non-sublicensable right to install and use the Software within the scope of this EULA.
(2) Each license covers one collector installation. The customer may set up agents and network devices up to the number of devices their license allows.
(3) The customer may use the Software for their own purposes. IT service providers may also use it to monitor their clients' networks; each client network then needs its own collector with its own license.
(4) The customer may pass on a lifetime license as a whole to a third party. To do so, they must stop using it, delete all of their copies and inform TKB of the new holder in text form. The new holder must accept this EULA. Yearly licenses and free use cannot be transferred.
(5) The customer may make the copies needed for proper backups (§ 69d(2) UrhG). Copyright and all rights not expressly granted remain with TKB or its licensors.
§ 5 Free use
(1) Without a license file, the customer may use the Software free of charge with up to 3 devices, with no time limit. The only requirement is the customer account for the download.
(2) Free use includes no claim to updates, support or any particular set of features.
(3) TKB may change the scope and conditions of free use for future versions. Versions already installed remain usable as before.
§ 6 Paid licenses
(1) TKB offers licenses by number of devices, either as a lifetime license or as a yearly license. Tiers and prices are on the pricing page (https://www.tkbitsupport.de/prices/tkb-monitor-prices/).
(2) Payment is by invoice only. The invoice is due within 14 days without deduction. TKB provides the license file once payment has been received.
(3) The license file may be bound to one collector installation. If the customer moves to a new server, TKB issues a new license file on request; the old installation may then no longer be used.
(4) Once the device limit is reached, the collector accepts no further devices. The customer can buy a higher tier for more devices.
(5) A yearly license runs for 12 months from issue and ends automatically, with no notice of termination needed. It is renewed by placing a new order. From 30 days before expiry the Software shows a notice in the dashboard; 30, 14 and 1 day before expiry it reminds administrators by email, provided a mail server and email addresses are set up.
(6) After a yearly license expires, the Software keeps running in a restricted mode: monitoring and notifications stay active, while changes in the dashboard are locked until a valid license file is installed. Jobs keep running for 7 more days; the Software shows a notice in the dashboard and sends a daily email reminder, provided a mail server and email addresses are set up. After that, jobs are paused until a valid license file is installed. There is no claim that future versions will keep this mode.
§ 7 Updates
(1) The customer may use updates that TKB releases at no extra charge, within the scope of their license.
(2) TKB develops new features and new major versions voluntarily; there is no claim that they will be developed. When they are released, they are included at no extra charge in lifetime licenses and in yearly licenses during their term.
(3) For consumers, TKB provides the updates owed under § 327f BGB, in particular security updates: for yearly licenses during the term, for lifetime licenses for the period the consumer can reasonably expect.
(4) The customer updates the collector themselves via the download in their customer account. The customer updates agents from the dashboard; the files come from their own collector.
(5) The customer installs updates provided to them promptly. If a defect is caused solely by the customer not installing an update that was provided, TKB is not liable for it, provided TKB informed the customer about the update and the consequences of not installing it, and the failure to install it was not caused by faulty installation instructions.
(6) TKB informs about new versions and the consequences of not installing them in the dashboard and in the customer account. For this, the collector asks TKB once a day and when the customer clicks the button which version is the newest. The Software sends no information about the customer or their devices; for technical reasons, TKB's server only receives the collector's IP address. The customer can turn off the daily check in the dashboard; they then only learn about new versions when they check themselves.
§ 8 Support
(1) Support is not included in the license price.
(2) TKB answers questions about the Software as far as it is able, without fixed response times.
(3) TKB offers further help, such as setup, remote maintenance or on-site troubleshooting, as paid IT support under the General Terms and Conditions.
(4) Statutory rights regarding defects are not affected.
§ 9 Obligations and restrictions
(1) The customer must not:
- – bypass the license check, or alter or pass on the license file;
- – manipulate the system clock or the database to change the term or the number of devices;
- – rent out the Software or make it available to third parties except as allowed in § 4;
- – remove copyright notices;
- – decompile or reverse engineer the Software, except where §§ 69d and 69e UrhG expressly allow it.
(2) The customer protects the collector appropriately, in particular with secure passwords, up-to-date systems and no unprotected access from the internet. They keep the install code and login details secret.
(3) The customer backs up the collector's database regularly.
(4) The customer monitors only systems they are entitled to monitor. They are responsible for complying with data protection and employment law, for example informing employees and involving a works council.
(5) The customer allows jobs only on computers where they need them. They set up each job themselves, check it before its first use, for example with the test run, and back up the affected data regularly. They store login details for servers and shares only if they are entitled to use them.
(6) If the customer breaches paragraph 1, section 5.8 of the General Terms and Conditions (blocking and withdrawal of the right of use) applies accordingly; serious breaches also allow termination under § 13(4). The duties in paragraphs 2, 3 and 5 protect the customer; if they breach them, their claims for damages may be reduced (§ 254 BGB).
§ 10 Data protection
(1) The Software runs entirely on the customer's systems. Monitoring data such as measurements, events, inventory, user accounts and credentials is stored only there and is not sent to TKB. The license check works offline. The only connection to TKB is the update check under § 7(6).
(2) The customer is the controller of this data under the GDPR. TKB does not process personal data on the customer's behalf when the Software runs.
(3) The collector sends email notifications through the mail server the customer sets up. Jobs transfer files only between the folders, shares and servers the customer sets up.
(4) The customer account, downloads and orders are covered by the privacy policy (https://www.tkbitsupport.de/datenschutzerklarung/).
(5) TKB accesses the customer's systems for support only with the customer's consent. Where required, the parties first sign a data processing agreement (Art. 28 GDPR).
§ 11 Warranty and liability
(1) The Software monitors only what has been set up and what the devices report. It cannot guarantee that every failure is detected and every notification is delivered, for example when the network, the mail server or the collector itself fails. It does not replace the customer's own protective and backup measures. Jobs handle files as the customer set them up and do not replace backups either.
(2) For paid licenses, the statutory rights regarding defects apply. Consumer rights under §§ 327 ff. BGB are not affected. For businesses, claims for defects become time-barred 12 months after the Software is provided; this does not apply to damages under paragraph 4 or to fraudulent concealment. For businesses, strict liability for defects already present when the contract is concluded (§ 536a(1), first alternative, BGB) is excluded.
(3) For free use, TKB is liable for defects only if it fraudulently concealed them.
(4) TKB is liable without limit for intent, gross negligence and fraudulent concealment, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given.
(5) For slight negligence, TKB is liable only for breach of essential contractual duties: duties whose fulfilment makes proper performance of the contract possible and on which the customer may regularly rely. Liability is then limited to the typical, foreseeable damage. Otherwise, liability for slight negligence is excluded.
(6) For free use, TKB is liable only for intent and gross negligence (§ 521 BGB). Liability for injury to life, body or health, for fraudulent concealment and under the Product Liability Act is not affected.
(7) For slight negligence, TKB is liable for loss of data only for the effort that would have been needed to restore it if the customer had made regular backups.
(8) These limits also apply to TKB's employees, representatives and vicarious agents.
§ 12 Third-party components
The Software contains open-source components under free licenses such as MIT and Apache 2.0. Their own license terms take precedence for those components. The notices are in the dashboard's Help panel and in the file third-party-notices.txt.
§ 13 Term and termination
(1) Free use has no end date. The customer may stop at any time.
(2) Yearly licenses end as set out in § 6(5) and (6).
(3) TKB cannot terminate lifetime licenses by ordinary notice.
(4) Both parties keep the right to terminate for good cause. For TKB, good cause exists in particular after a serious breach of § 9(1) that continues despite a warning.
(5) When the right of use ends, the customer stops using the Software and deletes all copies. The restricted mode under § 6(6) is not affected.
§ 14 New versions of this EULA
Each version of the Software ships with the EULA valid at that time. Later versions of the EULA do not reduce the number of devices or the term of licenses already bought. New versions that put the customer in a worse position apply to licenses already bought only with the customer's consent. Updates owed by law do not depend on this.
§ 15 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only as long as it does not remove the protection of mandatory rules of the country where they habitually live.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Koblenz. For consumers, the statutory place of jurisdiction applies.
(3) The German version is binding. The English translation is for understanding only.
(4) If any provision is invalid, the rest of the contract remains valid. The statutory rules take the place of the invalid provision.
